CIPC to Deregister Non-Compliant Companies by January 2025

The CIPC has issued Practice Note 2 of 2025, warning that companies failing to submit beneficial ownership declarations and annual returns by 31 January 2025 will be deregistered without further notice.

This enforcement aligns with South Africa’s efforts to improve compliance ahead of a Financial Action Task Force (FATF) assessment.

Impact on Businesses

  • Deregistered companies lose their legal standing and cannot conduct business.

  • Reinstatement requires a lengthy and costly process.

  • Companies that wish to remain operational must update their beneficial ownership records and file annual returns immediately.
